Second mortgages and private lending involve registering a subordinate charge on a property that already has a first mortgage, or a non-bank individual or company acting as lender on a home loan — with a lawyer completing title and priority searches, designing security documents, registering the charge, and enforcing under the Mortgages Act if the borrower defaults. Whether you're in Toronto, Markham, Richmond Hill or elsewhere in Ontario, these legal rules apply province-wide.

Terms are often short (typically 6–12 months) — if you can't renew or refinance at maturity, you face the sale process directly; the actual funds received are often significantly less than the loan amount (fees deducted upfront); interest, penalties, legal fees, and enforcement costs stack rapidly onto the principal after default; and a private loan on record can affect future bank financing applications.
We're built for litigation, not just closings. A private loan is truly tested not on funding day, but on the day the borrower stops paying. Our firm has full litigation and enforcement experience — documents are drafted from day one to the standard of "this may end up in court," not just to close the file.
Real estate and family law under one roof. Loans between family and friends, between parents and children, most often detonate at divorce — was it a gift or a loan, held in trust or owned outright — the exact battleground of resulting trust claims. We get these documents right before the money moves.
Full Mandarin communication. Priority, default, penalty, and guarantee clauses in mortgage documents are explained item by item in Chinese — no client signs a document they don't understand.
We plan ahead — no last-minute scrambles. On the day we're retained, we issue a written instruction letter listing every step: what to do, who does it, and by when — clients simply follow it item by item.
Transparent fees, no hidden charges. We explain the complete fee structure at the outset and provide itemized disbursement lists with receipts.
A lender planned to advance a second mortgage to a homeowner who claimed the first mortgage balance was only half the home's value, leaving ample equity. During title searches, we found the first mortgage was registered as a Collateral Charge for an amount far exceeding the current balance — nearly consuming all the equity. Even if the second mortgage was registered successfully, enforcement would have left nothing to distribute. We stopped the transaction before funding, and the lender avoided what would have effectively been an unsecured "secured loan."
A lender advanced funds to a couple, with the wife signing a guarantee as guarantor without independent legal advice. After the loan defaulted, the wife claimed she had no understanding of the document's contents and had signed under her spouse's influence. In disputes like this, a lender's lack of ILA documentation puts them at a clear disadvantage. We subsequently redesigned this lender's standard document package, making ILA a hard precondition for funding.
